Questo mese diamo uno sguardo alle risorse umane e a come le società ad investimento straniero in Cina possano migliorarne la gestione. Assumere e mantenere personale competente e di qualità è uno degli elementi fondamentali per avere un’attività di successo ovunque e la Cina non fa eccezione. Non è un segreto che le società meglio organizzate nell’attrarre e mantenere personale di qualità riescono poi a raggiungere performance migliori rispetto a società con forte ricambio. Inizieremo col delineare alcune linee guida per una buona gestione del capitale umano, ponendo l’accento sull’esistenza di strategie d’uscita efficienti per i datori di lavoro, sulle ramificazione della Legge sui Contratti di Lavoro del 2008 e definendo i termini e l’ammontare dei corrispettivi spettanti ai dipendenti in caso di licenziamento. Proseguiremo poi con un’analisi delle varie opzioni esistenti in termini di esternalizzazione della gestione delle risorse umane a parti terze. Infine, andremo a dare un occhiata ad una delle organizzazioni piu controverse  fraintese che gli investitori stranieri, prima o poi, finiscono per incontrare quando operano in Cina: il FESCO (Foreign Enterprise Service Company).

Con la crisi finanziaria, che ha ormai colpito tutti i settori dell’economia reale, molte aziende medio piccole in giro per il mondo lottano per la sopravvivenza mentre le multinazionali sono costrette a rivedere le loro strategie globali spesso colpite da problemi connessi ai flussi di cassa ed alle condizioni del credito. Di conseguenza i flussi di investimenti diretti esteri sono scivolati ai minimi storici. Alcuni paesi sono stati tentati da istinti protezionistici, mentre le più importanti organizzazioni internazionali continuano a rinviare le loro proiezioni di una presunta ripresa dell`economia. Previsioni di una Cina solo marginalmente toccata dalla crisi sembrano ormai poco plausibili. Molti gruppi multinazionali, alle prese con una nuova strategia all’insegna dell’austerità stanno adesso premendo perche le loro sussidiarie riducano i costi.

In questo numero del China Briefing ci occuperemo di analizzare alcune delle problematiche inerenti alle difficoltà pratiche di chi si trova a gestire un investimento nella Repubblica Popolare Cinese e a districarsi tra le nuove contingenze. Far fronte agli errori di un passato in cui l’ottimismo e la negligenza hanno spesso lasciato spazio a problemi irrisolti che riaffiorano quando invece arriva il momento di ottimizzare efficienza e controllo. Questo mese andremo ad occuparci di un argomento di cui si sente parlare sempre piu spesso tra le autorità cinesi e le società multinazionali presenti nel paese, il cosiddettotransfer pricing. Il transfer pricing è una realtà per la maggior parte delle multinazionali che operano in Cina e, in seguito all'emanazione della nuova legge sull'imposta sui redditi societari, entrata in vigore l'anno scorso, il principio della libera concorrenza nella determinazione del prezzo delle transazioni infragruppo è ora applicato attivamente. In questo numero diamo uno sguardo a come il transfer pricing funziona in Cina, alla documentazione di supporto necessaria in fase di dichiarazione d'imposta, a come gestire in modo appropriato i rischi connessi al transfer pricing ed a come gestire eventuali verifiche ed aggiustamenti da parte delle autorità fiscali cinesi.

In questo numero andremo ad approfondire il regime cinese dell'imposta sul valore aggiunto (IVA). Il regime IVA cinese, spesso causa di pericolosi malintesi tra gli investitori stranieri impegnati a commerciare con la Cina o in Cina, contribuisce per una porzione consistente al gettito fiscale annuale del paese, costituendo una parte rilevante del sistema fiscale statale. All'inizio del 2009 il governo centrale ha lanciato una politica di riforma nazionale dell'IVA precedentemente sperimentata in alcune selezionate regioni del paese. La nuova normativa ha fatto passare la Cina da un sistema IVA basato sulla produzione ad un regime basato sul consumo ed ha introdotto numerose modifiche ai benefici fiscali di cui godono le aziende nel paese. L'articolo principale di questo mese illustra il sistema cinese dell'IVA, dà uno sguardo alle aliquote ed alle formule di calcolo per i contribuenti ordinari e per quelli denominati "minori", esamina i benefici fiscali per le esportazioni ed analizza le misure di recente introduzione. 

Questo mese esamineremo la legislazione vigente che regola l’imposta sul reddito delle persone fisiche applicabile agli stranieri che lavorano in Cina. Poiché le dichiarazioni annuali d’imposta devono essere presentate entro la fine di marzo, cercheremo di chiarire alcuni degli aspetti che solitamente tormentano gli espatriati che si trovano alle prese con queste adempienze. Ci occuperemo inoltre dell’iter da seguire e della documentazione necessaria per l’ottenimento del visto lavorativo, altro tormento per il personale straniero impegnato in Cina.Termineremo infine con un approfondimento riguardante gli investimenti italiani in Cina tramite Holding a Hong Kong ed in particolare con un caso specifico in cui l'agenzia delle Entrate Italiana riconosce una maggior apertura verso questo tipo di strutturazione.
